The material facts in relation to the undertaking are often exclusively within their knowledge. In view of these conditions, it is apparent that the question of the reciprocal rights and obligations of the promoter and the corporation, and of the shareholder and the promoter, is of great practical importance; and it would seem to be worthy of fuller treatment than that which has been accorded to it in the text-books on the law of corporations.
